Obviously you can't install 2008R2 on top of SBS, but with an SBS Premium installation, covered under Software Assurance, do we get the entitlement to upgrade the second "LOB" server to R2??

If we can, is there any reason not to?  If we can't why not?

No.  Remember SBS is a suite and thus the licensing is for SBS.

As SBS we are SA entitled to the next SBS, we're not entitled to the next Windows 2008 version.

Premium.  SBS premium.

You sure in your statement with regard to the second server?  Your answer is unclear.

Even with premium.  We're entitled to the next SBS premium, not the next Windows sku.
